August 2026 - Mit der geplanten Veräußerung seiner Aktivitäten im Bereich extrudiertes Polystyrol (XPS) würde Etex sein Dämmstoffgeschäft im Einklang mit seiner Strategie stärker auf Glaswolle fokussieren. XPS macht einen kleineren Teil des gesamten Dämmstoffportfolios von Etex aus. Der Verkauf würde zugleich zu einer Vereinfachung und Straffung des Produktionsnetzwerkes beitragen. Für Austrotherm hingegen ist XPS eine Kerntechnologie und ein strategisches Wachstumsfeld.

Für Austrotherm würde die geplante Übernahme eine deutliche Erweiterung des bestehenden Produktionsnetzwerks für XPS-Dämmstoffe bedeuten. Die zusätzlichen Standorte würden den bestehenden XPS-Geschäftsbereich ideal ergänzen und eine starke Basis für die langfristige Weiterentwicklung schaffen. Aufbauend auf seiner etablierten Position in Mittel-, Süd- und Südosteuropa könnte Austrotherm mit den Etex-XPS-Produktionsstandorten seine Präsenz in Deutschland und auf Italien, Frankreich und Spanien ausweiten.

Als österreichischer, familiengeführter Dämmstoffspezialist mit klarem Fokus auf XPS verfolgt Austrotherm eine langfristig ausgerichtete Entwicklungsstrategie. Neben der weiteren Expansion stehen Kontinuität für Mitarbeitende, Kunden und Geschäftspartner sowie die Erreichung der Nachhaltigkeitsziele im Mittelpunkt.
Die geplante Transaktion würde die derzeit unter der Marke URSA geführten XPS-Produktions-und Vertriebsaktivitäten an folgenden Standorten umfassen:
Ebenfalls enthalten sind die damit verbundenen Vertriebsaktivitäten für Kunden in mehreren Ländern West- und Mitteleuropas. Die Marke URSA selbst wird nicht übernommen; für eine begrenzte Übergangsphase wäre ihre Nutzung weiterhin vorgesehen.
Kommt die Übernahme zustande, würde Austrotherm seine geografische Marktabdeckung in Westeuropa, einschließlich der Benelux-Länder, deutlich ausbauen. Gleichzeitig würde es Austrotherms Pläne zur Senkung der CO2-Emissionen an seinen europäischen Produktionsstandorten beschleunigen, unter anderem durch Investitionen in XPS-Recyclingtechnologien und den verstärkten Einsatz recycelter Rohstoffe. Dies erfolgt im Einklang mit den Klimazielen der EU im Rahmen des European Green Deal und des Fit-for-55-Pakets. Die kombinierten Produktionskapazitäten von Austrotherm und den Etex-XPS-Werken könnten künftig zudem eine noch bessere Versorgung und Kundenbetreuung in Europa ermöglichen.
An den Standorten El Pla und Saint-Avold, wo XPS und Glaswolle derzeit am selben Standort produziert werden, beabsichtigt Etex, die Glaswolleproduktionen zu behalten und weiterzuentwickeln. Geeignete Maßnahmen sollen sicherstellen, dass beide Geschäftsbereiche nach dem Verkauf unabhängig voneinander betrieben werden können. Etex bekennt sich damit weiterhin klar zu seinem bedeutenden Glaswollegeschäft an sieben europäischen Standorten und will die geografische Expansion, den Ausbau von Kapazitäten und die Entwicklung neuer Produkte weiter vorantreiben.
Alle Beschäftigten im Dämmstoffbereich und ihre Arbeitnehmervertretungen wurden ordnungsgemäß über diese Entwicklung informiert. Etex und Austrotherm wollen den Prozess transparent, respektvoll und verantwortungsbewusst gestalten. Sollte die Transaktion zustande kommen, würden die den betreffenden Werken zugeordneten Mitarbeiter vorbehaltlich und im Einklang mit den jeweils geltenden lokalen Rechtsvorschriften und Konsultationspflichten zu Austrotherm wechseln. Bis zu einem möglichen Abschluss führt Etex seine XPS-Sparte unabhängig von Austrotherm fort.
Die geplante Transaktion steht unter dem Vorbehalt der üblichen Genehmigungen und Bedingungen, einschließlich regulatorischer Freigaben.

With the contemplated transaction of its extruded polystyrene (XPS) activities, Etex would further refocus its insulation business on glass wool, in line with its strategy. While XPS represents a smaller part of Etex’s overall insulation portfolio and would support the simplification and streamlining of its industrial footprint, it is a core technology and strategic growth area for Austrotherm.

For Austrotherm, the contemplated transaction would represent an expansion of its existing production network for XPS insulation materials and highly complementary addition to its existing XPS platform and a strong basis for further long-term development. Building on its reputable position in Central, Southern and Southeastern Europe, the addition of the Etex XPS production sites would enable Austrotherm to extend its presence to Germany, Italy, France and Spain.

The contemplated transaction would cover the XPS manufacturing and commercial activities currently operated under the URSA brand in:
It would also include the associated commercial activities serving customers across several countries in Western and Central Europe, with the exception of the URSA brand (subject to a limited transition period).
Consequently, if the transaction is executed and proceeds to closing, geographic market coverage in Western Europe, including the Benelux countries, would increase significantly and, at the same time, accelerate Austrotherm's ambitions to reduce CO₂ emissions across its European production sites, including through investments in XPS recycling technology and the transition towards recycled raw materials, in line with the EU's climate targets under the European Green Deal and the Fit for 55 package. The combined production facilities of Austrotherm and Etex XPS activities could, in future, also enable even better supply and customer support across Europe.
At El Pla and Saint‑Avold, where XPS and glass wool activities currently operate on the same site, Etex intends to retain and continue developing its glass wool activities. Appropriate measures would be implemented to enable both businesses to operate independently following closing. Therefore, for its significant glass wool activities across 7 sites in Europe, Etex remains committed to drive geographic expansion, expand capacity, and accelerate new product development.
All Insulation employees and their representative bodies have been duly informed of this development. Etex and Austrotherm are committed to handling this process with transparency, respect and responsibility. Should the transaction proceed, employees linked to the activities in scope would transfer to Austrotherm subject to and in accordance with applicable local laws and consultation requirements. Until a potential closing, Etex will continue with its XPS operations independently from Austrotherm.
The contemplated transaction would be subject to customary approvals and conditions, including regulatory clearances.
